Subject to these Terms and any applicable agreement, SPS grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes only during the applicable subscription term. You obtain no ownership rights in the Services.
DATA USAGE. You acknowledge and agree that SPS may use data derived from your use of the Products and Services for the purpose of operating, maintaining, improving, supporting, and enhancing SPS’ offerings, provided that such use does not disclose your identity or confidential information except as permitted by these Terms or applicable law.
SECURITY RESPONSIBILITIES. You are responsible for implementing commercially reasonable safeguards to secure your systems, data, and access credentials used in connection with the Services, and for any activity occurring under your account.
DOWNLOADING. You may only download materials that are expressly designated for download. You may not download materials requiring a fee unless the applicable fee is paid. You agree not to circumvent any content protection technology on this Site.

SPS does not accept or consider unsolicited ideas or proposals for new products, features, or technologies. If you choose to submit such unsolicited ideas, you do so at your own risk, and SPS shall be free to use them without restriction or compensation, consistent with the license above.
PASSWORD AND USER NAME. You are solely responsible for maintaining the confidentiality of your account credentials and for any activities conducted under your credentials. You agree to notify SPS immediately of any unauthorized use or security breach. SPS will not be liable for any losses resulting from unauthorized account use.
LINKS TO THIRD PARTY SITES. The Site may contain links to third-party sites, which are provided for your convenience. SPS does not control or endorse any such sites and is not responsible for their content.
THIRD-PARTY DISCLAIMER. SPS lists third-party companies and information for informational purposes only and does not endorse or control such companies.

SPS DOES NOT GUARANTEE THAT THE SITE OR SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED.
LIMITATION OF LIABILITY. IN NO EVENT SHALL SPS’ TOTAL LIABILITY EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. SPS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.
FORCE MAJEURE. SPS shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, labor disputes, government actions, or interruptions of internet service.
JURISDICTION AND GOVERNING LAW. These Terms are governed by the laws of the United States and the State of Minnesota. Any legal proceedings shall be brought in Minneapolis, Minnesota within one year of the claim arising.
ACCESSIBILITY. SPS endeavors to make its services accessible and usable to all users and complies with applicable accessibility laws and guidelines.
ENTIRE AGREEMENT. These Terms constitute the entire agreement relating to use of the Site. SPS’ failure to enforce any provision does not waive its rights.
